Sustainable Development Practice Principles

Article 1: The Principles are established by Ta Yih in accordance with the Sustainable Development Practice Principles for Companies Listed on TWSE or TPEx to perform its corporate social responsibility and facilitate the economic, environment and social progress for achieving the goal of sustainable development.

Article 2: These Principles are applicable to all business activities of Ta Yih and the group companies. To be with the international development trend, enhance its contribution towards the nation as a corporate citizen, improve the life quality of its employees, community and society and facilitate its competitive advantages based on sustainable development, Ta Yih shall practice sustainable development positively while engaging in its business as an enterprise.

Article 3: Ta Yih shall pay attention to rights of related parties while promoting sustainable development, and shall take account of the factors relevant to environment, society and corporate governance while pursuing sustainable operation and profits and include such factors in its management policy and business activities.

Article 4: For practice of sustainable development, Ta Yih abides by the following principles:
1. Implementation of corporate governance
2. Development of sustainable environment
3. Maintenance of social engagement
4. Enhancement of disclosure of the information on sustainable development

Article 5: Ta Yih has established the sustainable development policy, which has also been approved by the board of directors, after taking into account the development trend of domestic and overseas sustainability-related issues, the connection with its core business, and the overall business operation of Ta Yih and the group companies.
When a shareholder proposes any motions relevant to sustainable development, the board of directors shall list it as a motion to be transacted at the shareholders’ meeting.

Article 6: Directors of Ta Yih shall exercise the due care of a good administrator to monitor its implementation of sustainable development and review implementation results from time to time for continual improvement in order to ensure that the sustainable development policy is duly implemented.

Article 7: When promoting achievement of the sustainable development goal, the board of directors of Ta Yih shall
1. Include sustainable development in its operating activities and development direction; and
2. Ensure the timeliness and accuracy of any disclosure sustainable development-related information.

Article 8: Ta Yih shall hold educational training periodically to promote sustainable development.

Article 9: To complete the management of sustainable development, a specific person or unit shall be designed or set up to promote sustainable development if necessary. The designated person or unit shall be responsible for proposing and implementing the sustainable development policy or system, relevant management strategies and specific promotion plans, and report to the board of directors periodically.

Article 10: Ta Yih identifies, based on respect for interests of interested parties, its interested parties and establishes the Section of Interested Parties on its website. Ta Yih understands reasonable expectations and needs of interested parties through proper communication channels, and properly responds to important sustainable development issues concerned by interested parties.

Article 11: Ta Yih shall comply with environment laws and applicable international standards, properly protect natural environment, and shall be committed to achievement of the environmental sustainability goal when conducting operating activities and internal management

Article 12: Ta Yih shall be committed to enhancement of energy usage effectiveness and use of recycled materials that have a low impact on the environment, in order for sustainable use of earth resources.

Article 13: Ta Yih shall establish a proper environment management system based on characteristics of the industry. The system shall include the following:
1. Collect and evaluate sufficient and real time information relevant to the impact made by its operating activities on natural environment.
2. Set measureable objectives of environmental sustainability and review of the continuity and correlation of the development of the objectives periodically.
3. Review results of performance of the objectives periodically.

Article 14: Ta Yih shall set up or designate a unit or person to take charge of environmental management to maintain relevant environmental management systems, and hold environmental education training programs for the management and employees periodically.

Article 15: In consideration of the impact of its business operation on ecological benefits and facilitate and promote the concept of sustainable consumption, Ta Yih shall have its R&D, procurement, production, operation, service and other activities conducted pursuant to the following principles to reduce the impact of its business operation on natural environment and human beings.
1. Reduce consumption of resources and energy necessary for its products and services.
2. Reduce discharge of pollutants, toxic substances and wastes, and dispose wastes property.
3. Facilitate the recoverability and recycling of raw materials or products.
4. Maximize sustainable use of renewable resources.
5. Extend durability of products.
6. Enhance effectiveness of products and services.

Article 16: To enhance the efficiency of use of water resources, Ta Yih facilitates proper and sustainable use of water resources and establishes relevant management measures, if necessary, to make every effort to reduce negative impacts on human health and the environment by making effective and feasible measures and technology for pollution prevention and controls.

Article 17: Ta Yih shall pay attention to the impact of climate change on its operating activities, and shall establish its energy conservation, carbon reduction and greenhouse gas reduction strategies based on the status of its business operation and the result of greenhouse gases inventory, and shall include the acquisition of carbon right to the planned carbon reduction strategy. Ta Yih shall promote these strategies to reduce the impact of its operating activities on climate change.

Article 18: Ta Yih shall comply with applicable laws, protect legal rights of employees and respect the labor human rights recognized internationally, and shall not act in violation of labor rights. Ta Yih’s policy relevant to use of human resources shall forbid discrimination based on sex, race, social class, age, marital status or family status in order to ensure equality and fairness of employment, employment conditions, remunerations, benefits, training, performance evaluation and promotion opportunities.

Article 19: Ta Yih shall provide information for employees to understand the labor laws of the country where it operates, and the rights they have.

Article 20: Ta Yih shall provide employees with a safe and healthy working environment and shall also provide necessary health and first-aid facilities. It shall be committed to reduction of the factors harmful to safety and health of employees in order to prevent occupational accidents. Ta Yih shall provide employees with educational training on safety and health periodically.

Article 21: Ta Yih shall create a good environment for employees’ career development and establish an effective training plan for their career competency development.

Article 22: Ta Yih shall establish a communication channel to communicate with employees periodically, and enable employees to have the right to obtain information and give opinions in terms of its operating and management activities and decisions.

Article 23: Ta Yih shall prevent products and services from impairing interests, health and safety of consumers.

Article 24: Ta Yih shall ensure that the quality of products and services meets government regulations and applicable practices recognized in the industry. With respect to marketing for and labels of products and services, Ta Yih shall comply with applicable laws and international standards, and shall not deceive, mislead, swindle or conduct any act to damage consumers’ trust on Ta Yih or impair interests of consumers.

Article 25: Ta Yih shall evaluate the impact of its procurement on the environment and society of the community that the source of supply is from, and shall cooperate with suppliers to jointly perform corporate social responsibility.

Article 26: Before commencement of a business transaction, Ta Yih shall evaluate whether there is any record showing that the counterparty has impacted the environment and society negatively. Ta Yih shall avoid doing business with the entities that contradict its corporate social responsibility policy.

Article 27: Ta Yih shall evaluate the impact of its business operation on the community, and shall properly employ local labor from the area where its place of business is located, to create community identity.
Ta Yih shall participate in the community development and community education activities held by civil societies, charitable organizations and local government agencies, through its commercial activities, in-kind donations, corporate volunteering services or other public welfare activities, to facilitate community development.

Article 28: Ta Yih shall disclose information in accordance with applicable laws and the Corporate Governance Practices for Companies Listed on TWSE or TPEx, and shall fully disclose any and all vital and reliable information relevant to sustainable development in order to enhance information transparency.

Article 29: Ta Yih shall prepare a sustainability report to disclose the situation of promoting sustainable development. The report shall contain:
1. Sustainable development policy or system or relevant management strategies that have been implemented
2. Main interested parties, and the issues concerned by them
3. Performance result and review of Ta Yih’s implantation of corporate governance, development of sustainable environment, maintenance of social engagement, and facilitation of economic development
4. Future direction and objectives for improvement

Article 30: Ta Yih shall pay attention to development of domestic and foreign sustainable development principles and change of business environment from time to time, and shall discuss and improve its own sustainable development system based on such development and change, in order to enhance the effect of sustainable development.

Article 31: The Principles and any amendment of the Principles shall be implemented after being approved by the board of directors.
The Principles were established on Mar. 17, 2017.
The 1st amendment to the Principles was made on Mar. 25, 2022.
